P&G ANNOUNCES EXECUTIVE CHANGES

 CINCINNATI, Dec. 14 /PRNewswire/ -- The Procter & Gamble Company (NYSE: PG) today announced that after more than 24 years of service, Ashley L. Ford (55), secretary, The Procter & Gamble Company, will retire on March 11, 1994.
 Commenting on Ford's upcoming retirement, Chairman and Chief Executive Ed Artzt said, "Ashley has been a trusted advisor as legal counsel and the company's secretary. I thank him for his valuable insights and years of service to the company."
 In anticipation of Ford's retirement, the board of directors has elected Terry L. Overbey (44), currently corporation counsel - securities, legal division, as secretary, The Procter & Gamble Company, effective Feb. 1, 1994. Overbey will continue to have responsibility for the company's securities law matters.
