OPTA FOOD INGREDIENTS COMPLETES ACQUISITION OF WILLIAMSON'S BETTER
 BASICS OAT FIBER BUSINESS
 CAMBRIDGE, Mass., June 19 /PRNewswire/ -- Opta Food Ingredients, Inc. (NASDAQ: OPTS) has completed its acquisition of the Better Basics(R) Oat Fibers business of the Williamson Group, Inc., a privately-owned company for cash and stock, it was announced today by Lewis Paine, president.
 The transaction includes the dietary oat fiber product line, the plant facility and a part of the sales and marketing organization. Better Basics is a leading brand of dietary oat fiber for foods and beverages, with sales of $2.4 million in 1991 in the Untied States and Europe.
 "This is a unique opportunity for us to expand our markets and capabilities," Paine said. "Advanced Oat Fibers technology is complementary to our existing business as we assist our customers to reformulate their products
to meet changing consumer demands and new labeling regulations. In addition, we have gained both a U.S. and international sales, marketing and distribution infrastructure, an essential element for our projected 1993 launch of OptaGrade, a starch- based fat replacer, and Crystalean, a bulking agent."
 The Williamson Group will continue to own and operate the four manufacturing plants of its other food-ingredient subsidiary, D.D. Williamson & Co., Inc. For over 125 years, the company has been a world leader in the manufacture and supply of caramel coloring.
 Opta develops and markets proprietary new food ingredients which enable consumer food companies to improve the nutritional content, healthfulness or taste of foods. The company applies advanced enzymology and protein and carbohydrate chemistry to develop ingredients that can replace nutritionally undesirable food characteristics. Opta's new product development strategy is to modify inexpensive raw materials to produce natural food ingredients which can be considered Generally Recognized As Safe (GRAS) under current FDA regulations.
 Opta concluded an initial public offering of 1.7 million shares on March 11, 1992.
