ONEIDA LTD. & NORITAKE CO., INC. ANNOUNCE AGREEMENTS

 ONEIDA, N.Y., Jan. 13 /PRNewswire/ -- Oneida Ltd. (Oneida, N.Y.) (NYSE: OCQ) and Noritake Co., Inc. (Seacaucus, N.J.) have signed agreements effective Jan. 1, 1994, involving technical exchange, the distribution by Oneida of products manufactured by Noritake to the U.S. foodservice and institutional markets, and the purchase by Noritake of a minority interest in Buffalo China, Inc., the commercial dinnerware subsidiary of Oneida Ltd. headquartered in Buffalo, N.Y.
 Under the terms of a technical exchange agreement, Noritake and Oneida agree to an exchange of technical know-how and services. The roles of the respective parties shall be consultive in nature and shall not involve direct line responsibility. Each company will retain its current management organization.
 Under the terms of a distribution agreement Oneida is appointed the exclusive distributor of products manufactured by Noritake, including its overseas manufacturing subsidiaries, to the U.S. foodservice and institutional markets.
 Under the terms of a stock purchase agreement, Noritake has purchased a minority interest in Oneida's subsidiary, Buffalo China, Inc. Numerous covenants and restrictions apply.
 Oneida Ltd.'s Chairman, William D. Matthews, says: "Both Oneida and Noritake are leaders in their respective markets, complementing each other perfectly in terms of product, markets, and geography." "This relationship will reinforce our position in the U.S. market and potentially lead to new avenues of growth around the world," Matthews added.
