OMC ANNOUNCES PROPOSED DEBENTURE OFFERING WAUKEGAN, Ill., April 28 /PRNewswire/ -- Outboard Marine Corp.
(NYSE: OM) announced that it filed a registration statement with the Securities and Exchange Commission today for a proposed public offering of $65 million of convertible subordinated debentures due 2002.
The offering will be underwritten by Solomon Brothers Inc., Goldman Sachs & Co. and Morgan Stanley & Co. Inc. Outboard Marine Corp. has granted the underwriters an option to purchase up to an additional $9,750,000 principal amount of such debentures solely to cover over allotments, if any. Proceeds from the offering will be used for working capital and other general corporate purposes. Outboard Marine Corp., headquartered in Waukegan, Ill., designs, manufactures and distributes a broad range of marine engines, boats, accessories and services throughout the world. A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold, nor may offers to buy be accepted, prior to the time the registration statement becomes effective.
