 OFFERING OF 55 MILLION SHARES OF GENERAL MOTORS
 $1-2/3 PAR VALUE COMMON STOCK COMMENCES
 DETROIT, May 20 /PRNewswire/ -- General Motors Corporation (NYSE: GM) announced today that Morgan Stanley & Co. Incorporated and the other several underwriters have commenced an offering of 55 million shares of General Motors $1-2/3 Par Value Common Stock priced at $39.00 a share. Underwriting fees and commissions are $0.975 per share, or 2.5 percent of the offering price of $39.00 per share, amounting to a total of $53.6 million on the 55 million share offering. Of the total, 40 million shares are being offered in the United States, 6 million shares are being offered in the United Kingdom, 4.5 million shares are being offered in the Asia Pacific region and 4.5 million shares are being offered elsewhere internationally. The U.S. underwriters also have an over-allotment option of 8.25 million shares. Morgan Stanley & Co. Incorporated is acting as the global coordinator of the offering.
