OCS TECHNOLOGIES CORP. TO ACQUIRE PAMAP TECHNOLOGIES CORPORATION
 VANCOUVER, British Columbia, Dec. 17 /PRNewswire/ -- OCS Technologies Corp. (Vancouver: OCS) today announced that a share purchase agreement has been signed to acquire Pamap Technologies Corp. (PAMAP) of Victoria, British Columbia, a leading developer of geographic information systems ("GIS") for environmental, survey and engineering applications.
 OCS Technologies Corp., is a rapidly expanding Canadian software company specializing in the development and marketing of advanced and proven software products in the corrections, law enforcement, and insurance sectors.
 PAMAP was founded in 1981 by Dr. Pamela Sallaway of Victoria, a distinguished Canadian academician, who has been recognized by government, business and the educational community for her work in computer systems design.
 PAMAP management estimates annual revenues for the fiscal period ending April 30, 1992, will be approximately $3 million. At present, PAMAP's primary market is natural resource management including forestry, agriculture, environmental impact, mining, oil and gas, property management, hydrology, global monitoring and land use planning.
 PAMAP currently has more than 350 licensed GIS systems installed in more than 20 countries. PAMAP software is used by the United Nations Food & Agriculture Organization in its Rome headquarters for worldwide land use planning studies and projects, the British Columbia Ministry of Forests, Port of Vancouver and the U.S. Forest Service.
 Raymond W.G. Foucault, OCS chairman and chief executive officer, said PAMAP is currently profitable and has spent more than $3.2 million in research and development on its GIS software.
 According to a technical report prepared Aug. 31, 1990, by Carob Management Ltd. for a financial offering, the PAMAP GIS was found to have technological advantage over all its international competitors. Foucault said OCS is committed to providing the marketing and financial resources necessary to ensure that PAMAP achieves a dominant share of the international $600 million dollar GIS market which is estimated to be growing at an annual rate of 40 percent. In addition, he said both companies see opportunities for technology transfers in the areas of imaging and database management.
 PAMAP shareholders will receive OCS shares to be paid on a royalty basis over the next five years and six months. A maximum of 3 million shares will be issued based on the cumulative net income of the GIS division and the then prevailing OCS share price.
 To ensure continuity with OCS's operations, Foucault will join PAMAP's board of directors and Sallaway will join OCS's board of directors. Floyd Sully has resigned, making room for the appointment of Sallaway.
