OCS TECHNOLOGIES CORP. THIRD QUARTER RESULTS; REVENUES UP 91 PERCENT TO $4.9 MILLION

 RICHMOND, British Columbia, April 1 /PRNewswire/ -- OCS Technologies Corp. (TSE, VSE: OCS) today announced revenues for the third quarter of fiscal year 1993, which ended Jan. 31, 1993, increased by 91 percent to a record $4,900,817 from the $2,563,309 reported for the same period in fiscal 1992. The Company recorded an operating loss of $925,022 for the quarter, before discontinued operations and unusual items, a decrease of $1,333,960 compared to net income of $408,938 in the third quarter last year.
 Revenues for the nine months ended Jan. 31, 1993 were $11,065,199, a 149 percent increase compared with $4,440,544 for the nine months ended Jan. 31, 1992. The Company reported a net loss of $9,584,830 or $1.31 per share as compared to net earnings of $0.03 per share for the comparable period last year.
 The Jan. 31, 1993 consolidated statement of earnings includes a charge of $7,259,739 which is classified as Unusual Items. The charge includes the following components:
 1. The cost of acquiring all of the outstanding units of Olympic
 Computer Systems III Limited Partnership (LPIII) and the
 shares of the general partner as of May 29, 1992. LPIII owned
 the exclusive marketing rights to the CARE prison administration
 software product purchased by the Company in 1990 from the
 Government of British Columbia. Due to the nature of the
 software technology and the significant development costs
 expended on the software product, the Company has anticipated
 the estimated useful life of the original asset purchased to be
 limited. Accordingly, the cost of the software acquired
 ($5,295,062) has been charged to income as an Unusual Item.
 2. The software included as part of the acquisition of the law
 enforcement division of Syntax Systems, Inc. effective May 1,
 1992. These software products will no longer be actively
 marketed by the Company and therefore a charge of $1,134,554
 has been taken against income. OCS will continue to support the
 125 Syntax law enforcement agencies and these customers will be
 encouraged to upgrade to other OCS products.
 3. The portion ($640,456) of the acquisition cost of Pamap
 Technologies Corporation which has been reallocated to purchased
 research and development. Pamap was acquired in November 1991.
 4. The portion ($189,667) of the acquisition cost of Digital
 Resource Systems Limited acquired Dec. 24, 1992, which has
 been allocated to purchased research and development. In
 December 1992, OCS acquired Digital Resources System Limited of
 Nanaimo, British Columbia. The combination of Digital and Pamap
 should position our Geographical Information Systems business
 unit with the necessary critical mass to provide a complete
 range of software and services to our 400 GIS customer sites.
 Subsequent Events
 February 25, 1993 Signed a Letter of Intent to acquire all the
 outstanding shares of Atkisson and
 Associates, Inc. of Bakersfield, California.
 Atkisson and Associates is the largest
 supplier of integrated criminal justice
 systems in North America with five county
 installations. These systems link law
 enforcement agencies, the prosecutor's
 office, jails and court systems to better
 communicate timely information. Revenues for
 its latest fiscal year ending September 30,
 1992 were $4.8 million (CDN) and its backlog
 of signed contracts amounts to $13 million
 (CDN).
 March 11, 1993 Mobile County, State of Alabama, has
 selected OCS to provide the County with an
 Integrated Justice System. OCS's software
 will be used to automate all aspects of the
 District, Municipal and Circuit Courts.
 Prosecution Office, offender management and
 records management for the Law Enforcement
 agencies. The first phase of the Mobile
 County project is estimated at $2,250,000
 CDN.
 March 16, 1993 Signed a Letter of Intent to acquire the
 assets of Diversified Computer Products,
 Inc. (DCP) of Tampa, Florida. DCP is
 the largest supplier of public safety
 message switch software in the State of
 Florida. The DCP product set also includes
 an Automated Vehicle Locator (AVL) software
 system that visually shows the location and
 status of police, fire and emergency
 response vehicles on a computer map display
 on a high resolution computer monitor.
 Revenues for its latest fiscal year, ending
 Sept. 30, 1992 were $2.1 million (CDN)
 and its backlog amounts to $1.5 million
 (CDN).
 March 25, 1993 The Company completed the private placement
 of $2,760,000 special warrants of OCS
 Technologies Corp. at a price of $4.50 per
 special warrant, with aggregate proceeds of
 $12,420,000.
 During the third quarter, the company restructured and consolidated its U.S. operations at its Pleasanton, Calif., office. This office will also serve as the company's Public Safety Product Centre. The company's new Offender Management Software products (jails, prisons, parole, probation and correctional health assessment management program) are based at the Company's headquarters in Richmond, British Columbia. The Company plans to base Court, Prosecutor and Integrated Criminal Justice Information Systems products in Bakersfield, Calif. The remaining 9 other office locations will serve to provide sales and services to the company's Canadian and American customers.
