Noveon International, Cleveland, OH, parent company of Noveon, filed Form S-1 with the Securities and Exchange Commission for an initial public offering of shares of its common stock. The offering is expected to include primary shares issued and sold by the company, as well as secondary shares to be sold by certain stockholders of Noveon International. Proceeds from the primary shares are expected to repay a portion or all of the seller note at Noveon International. If equity proceeds repay only a portion of the seller note, then Noveon International may issue new debt to refinance its remaining balance of the seller note.
