NOXSO IN LONG-TERM RELATIONSHIP WITH DANISH CONCERN
FOR INTERNATIONAL MARKETS; $2 MILLION EQUITY INCLUDED
BETHEL PARK, Pa., March 25 /PRNewswire/ -- Noxso Corporation (NASDAQ: NOXO) and FLS Miljo, Copenhagen, Denmark, today agreed to a long-term relationship under which FLS will market and install Noxso's acid rain abatement system in some 33 international countries and initially invest $2 million in Noxso for 133,333 shares of its common stock.
FLS is one of Europe's largest pollution control concerns with about $250 million in annual sales and is a subsidiary of FLS Schmidt, a publicly traded $4 billion Danish concern.
FLS has agreed to minimum annual sales guarantees. Beginning in 1995, it must install Noxso's acid rain cleanup system on at least 500 MW of coal-fired electric generating capacity annually within its licensed territory, which includes Europe, parts of Asia and the Confederation of Independent States (formerly U.S.S.R.)
Under the agreement, Noxso will receive royalties on sales of its systems. FLS will pay Noxso 3 percent on equipment and 5 percent on associated engineering fees if the system installed is totally of Noxso's design, and 2 percent if it's modified with FLS technology.
Noxso also issued FLS a two-year warrant to purchase 66,667 shares of common stock for $1 million.
The marketing and technology exchange agreement with FLS will last 17 years.
"FLS is one of the most sought after partners in Europe and their involvement will speed the development of the Noxso process in Europe, augmenting our domestic business opportunities," said L. G. Neal, president of Noxso. "Immediately, and in the future, FLS's enthusiasm, reputation and talent should be very beneficial to Noxso."
In pilot tests at Ohio Edison, Noxso's process has demonstrated the capability to remove 90 to 95 percent of SOx and up to 85 percent of NOx from coal-fired flue gas.
