NOVACARE ACQUIRES THREE CONTRACT SERVICES BUSINESSES

VALLEY FORGE, Pa., March 17 /PRNewswire/ -- NovaCare, Inc. (NYSE: NOV), an industry leader in medical rehabilitation services, today announced it has acquired three contract services businesses.
NovaCare acquired Jana B. Mason Therapy Associates, Inc. of Louisville, Ky.; S G Rehab/S G Speech Associates, Inc. of Uniontown, Pa.; and Comprehensive Rehabilitation Services, Inc. of Knoxville, Tenn. Each company provides speech-language pathology, physical therapy and occupational therapy services on a contract basis to health care facilities. The acquired companies' owners will retain their leadership roles with NovaCare to continue the further development of NovaCare's contract therapy business. Terms of the transactions were not disclosed.
"These companies are all well-established practices with outstanding clinical reputations and excellent management," said C. Arnold Renschler, M.D., president and general manager of Contract Services. "Each has a strong patient care philosophy, customer service orientation and, as a result, very solid customer relationships."
The Mason practice is the leading rehabilitation contract services organization in northern Kentucky, providing medical rehabilitation services on a contract basis to nursing homes in Louisville, Lexington and Frankfurt. In addition, the company operates an outpatient therapy clinic in Louisville. The acquisition of Jana B. Mason adds 30 full- time equivalent therapists to NovaCare's contract therapy business in the growing Louisville market.
S G Rehab/S G Speech Associates of Uniontown, employs more than 75 full-time equivalent therapists and serves approximately 70 facilities -- primarily nursing homes -- in Pennsylvania, Ohio, Maryland, Virginia, West Virginia and the District of Columbia. The S G Group also operates an outpatient clinic near Pittsburgh. This acquisition substantially strengthens NovaCare's service capability within the Mid-Atlantic region.
Comprehensive Rehabilitation Services operates a successful home health care business and provides contract rehabilitation therapy services to nursing homes and acute care hospitals in Nashville, Chattanooga and Knoxville. The company employs 40 full-time equivalent therapists. The addition of Comprehensive enhances NovaCare's developing statewide presence within Tennessee and creates an initial market entry within the greater Knoxville metropolitan area.
"Since the announcement of NovaCare's $175 million issue of subordinated convertible debentures in December 1992, we have acquired four premier contract therapy practices, the three announced today and the previously announced Western Rehab of Phoenix, Ariz.," said Timothy E. Foster, senior vice president and chief financial officer. "On a combined basis, these companies represent approximately $24 million of additional revenues in our expanding contract services business."
NovaCare, Inc., is the largest provider of contract medical rehabilitation therapy and orthotic and prosthetic patient care services in the United States. The company also operates seven freestanding acute rehabilitation hospitals and seven community integrated programs.
