NOVACARE ACQUIRES REHABILITATION COMPANIES IN FLORIDA, ARIZONA AND CALIFORNIA

KING OF PRUSSIA, Pa., July 15 /PRNewswire/ -- NovaCare, Inc. (NYSE: NOV), an industry leader in medical rehabilitation services, today announced it has acquired two contract services and three orthotics and prosthetics businesses, complementing NovaCare's rehabilitation service capabilities in key markets in Florida, Arizona and southern California.
NovaCare has acquired Rehab Concepts, Inc. of Ormond Beach, Fla.; National Rehab Services, Inc. of Fullerton, Calif.; Dan's Orthopedic Service, Inc. of Tucson, Ariz.; Yuma Artificial Limb and Brace, Inc. of Yuma, Ariz.; and Baja Orthotic and Prosthetic Services of Chula Vista, Calif. Combined annual revenues of the five businesses are approximately $9 million. The acquisitions were primarily for cash and notes. Terms of the transactions were not disclosed.
Rehab Concepts employs approximately 105 speech-language pathologists, physical therapists and occupational therapists and serves more than 25 health care facilities on a contract basis in central and southeast Florida. National Rehab, which employs approximately 45 therapists, provides rehabilitation therapy services in eight facilities in Orange County, Calif. and operates a clinic specializing in hand rehabilitation services. The acquisitions of Dan's Orthopedic Service, Yuma Artificial Limb and Brace and Baja Orthotic and Prosthetic enhance NovaCare's position as a leading provider of orthotic and prosthetic patient care services in the southwestern United States through expanded referral sources and clinical leadership.
The operations of Rehab Concepts and National Rehab will be merged into NovaCare's existing contract services group. The three orthotics and prosthetics businesses will become part of NovaCare's orthotic and prosthetic (O&P) services group. The acquired companies' owners will retain their leadership roles with NovaCare to continue the further development of NovaCare's business in these markets.
"Florida, California and Arizona are among NovaCare's most important states in terms of rehabilitation services provided," said Francis W. Cash, president and chief operating officer. "The acquisitions announced today enhance our ability to meet the growing demand for rehabilitation professionals, offer substantial opportunities for economies of scale, and broaden the clinical opportunities for our therapists and O&P practitioners, all primary goals of our acquisition strategy."
During the last 12 months, NovaCare has acquired 13 rehabilitation companies. In addition, last month the company announced an agreement to acquire Rehabilitation Hospital Corporation of America, which operates five rehabilitation hospitals and four outpatient facilities.
NovaCare, Inc., is the largest provider of contract medical rehabilitation therapy and orthotic and prosthetic patient care services in the United States. The company also has six community integrated programs and, following the completion of the acquisition of Rehabilitation Hospital Corporation of America, will operate 12 acute rehabilitation hospitals and five freestanding outpatient facilities. NovaCare's employees treat more than 15,000 patients per day.
