 NORTHROP, CARLYLE GROUP SIGN MEMORANDUM OF UNDERSTANDING
 LOS ANGELES, April 20/PRNewswire/ -- Northrop Corporation


(NYSE: NOC) announced today it has signed a Memorandum of Understanding with The Carlyle Group, LP, under which Northrop would acquire a minority interest in the aircraft segment of LTV Aerospace and Defense Company.
 Northrop said LTV's aircraft activities would fit with the company's long-term strategy to expand its participation in the aircraft subassemblies business, particularly in the commercial transport field.
 Northrop said finalization of the investment would be contingent upon receiving assurances from the Department of Defense that its minority interest would not disturb the Government-Northrop-LTV B-2 program relationship. Northrop is the prime contractor on the B-2 and LTV is a principal subcontractor.
 Northrop said under the proposed agreement it would have the option after three years to purchase Carlyle's interest in the newly formed company.
