NEVADA GAMING COMMISSION APPROVES COMBINATION OF SAHARA LIMITED PARTNERSHIP L.P. AND SAHARA RESORTS

 LAS VEGAS, Aug. 26 /PRNewswire/ -- Today the Nevada Gaming Commission approved the reorganization of Sahara Resorts, a Nevada corporation, and Sahara Casino Partners L.P., a Delaware limited partnership.
 In the proposed reorganization, Sahara Casino Partners L.P. will be converted to corporate form through a merger with and into Sahara Gaming Corp., a newly organized Nevada corporation, and Sahara Resorts and a wholly owned subsidiary of Sahara Gaming Corp. will merge.
 The combination of Sahara Resorts (NASDAQ: SHRE) and Sahara Casino Partners L.P. (NYSE: SAH) will also result in a simplified organizational structure which management believes will be more attractive and understandable to investors, and will result also in the reduction of administrative and duplicative reporting expenses.
 The reorganization of the two companies is subject to approval by Sahara Resorts' stockholders and the holders of Sahara Casino Partners L.P.'s outstanding units and limited partner interests.
 Sahara Casino Partners L.P. is a gaming master limited partnership which owns and operates the Sahara, Hacienda and Santa Fe Hotel/Casinos in Las Vegas and the Pioneer Hotel & Gambling Hall in Laughlin, Nev. Sahara Resorts owns the general partners of Sahara Casino Partners L.P.
