NETRIX ANNOUNCES INTENT TO ACQUIRE REPUBLIC TELCOM

 HERNDON, Va., Nov. 8 /PRNewswire/ -- Netrix Corporation (NASDAQ-NMS: NTRX) and Republic Telcom Systems Corporation of Boulder, Co., today announced that they have signed a letter of intent under which Netrix will acquire Republic in exchange for approximately 830,000 shares of Netrix common stock. The acquisition is subject to the negotiation of definitive agreements and other closing conditions, including the approval of both company's boards of directors and the shareholders of Republic.
 Charles W. Stein, president and CEO of Netrix, said: "It is our mission to become the leader in the narrowband integrated data, voice, and image market. Republic's compressed voice and data products, combined with our high-end data networking technology, should allow us to accelerate our progress toward accomplishing that mission." Stein continued: "We have offered compressed voice networking capabilities to our customers for the past two years through our relationship with Pacific Communication Sciences, Inc. (PCSI). We see this agreement with Republic as an opportunity to augment those products and to address lower-end networks."
 Lloyd Ruth, chairman of the board of Republic, commented: "We are very enthusiastic about this merger. It represents an outstanding opportunity for our employees and will allow us to support our customers' growing network
requirements. Further, our focus on U.S.- based multinational customers fits very well with Netrix's international sales orientation."
 Republic Telcom Systems Corporation designs, manufactures, markets, and services packet-switched, low-bit-rate voice, fax and data networking systems for private network operators. Republic is privately-held company and has its headquarters in Boulder.
 Netrix Corporation manufactures and markets products that are used to build narrowband (2 Mbps and below) integrated voice and data networks. Netrix's networks reduce the significant operating costs associated with these networks by allowing communications managers to both simplify and improve the overall efficiency of their communications facilities. Netrix customers include financial services companies, government agencies, public networks, and major corporations around the world. Applications implemented on these networks include voice and fax communications, electronic mail, point-of-sale, LAN internetworking, video conferencing, and interbank transactions.
