NCR CHAIRMAN TO RETIRE; SUCCEEDED BY PRESIDENT OF AT&T'S GLOBAL BUSINESS COMMUNICATIONS SYSTEMS UNIT

 NEW YORK, March 19 /PRNewswire/ -- Gilbert P. Williamson, concluding a career of more than 30 years in the computer industry, today announced his retirement as chairman and chief executive officer of NCR Corporation effective May 1.
 He will be succeeded by Jerre L. Stead, president of AT&T's Global Business Communications Systems (GBCS). Stead, in turn, will be succeeded by Patricia F. Russo, currently vice president-national sales and service for the GBCS unit.
 Williamson assumed the leadership of NCR in September 1991 when the two companies signed a definitive merger agreement for the acquisition of NCR by AT&T in a transaction valued at approximately $7.5 billion. At that time, NCR became AT&T's core computer business and Williamson joined the AT&T board of directors.
 "My decision to retire is tinged with some sadness but I feel comfortable in leaving at a time when NCR increasingly is viewed as a marketing and technological leader in the computer industry. The time has come to give priority to my own personal interests," said Williamson, who will turn 56 next month.
 AT&T Chairman Robert E. Allen said, "Gil leaves with my deep gratitude for having seen NCR through what might otherwise have been a difficult transition period. His leadership has placed NCR in a strong position in a very competitive and fast-changing marketplace.
 "I am confident that NCR will continue to prosper and progress with Jerre Stead and the rest of NCR's top-notch management team."
 Williamson, who will not stand for re-election to the AT&T board of directors at the company's annual meeting next month, will begin working with Stead immediately to ensure an efficient hand-off of responsibilities, Allen said.
 Stead will assume the title of group executive-NCR and take Williamson's place on AT&T's management executive committee and the company's operations committee.
 Williamson joined the Dayton, Ohio-based NCR in 1962 as a systems engineer. In 1986 he was named executive vice president and a member of NCR's executive office with primary responsibility for the company's U.S. and international marketing units. He was elected president and a member of the NCR board in January 1988.
 Stead, 50, was chairman, president and chief executive officer of Square D Company in Palatine, Ill., before joining AT&T in September 1991. Before joining Square D in January 1987 he had 21 years of management experience in international and domestic marketing, sales, production, finance and general management with Honeywell, Inc.
 Russo, 39, spent eight years with IBM in various sales and marketing management positions before joining AT&T in 1981 and serving in a number of line and staff assignments. Since joining the GBCS unit in 1990, she has played a key role in planning and executing the successful turnaround of this communications product business.
