NBC AND TIME WARNER CABLE REACH RETRANSMISSION CONSENT DEAL

NEW YORK, Aug. 18 /PRNewswire/ -- National Broadcasting Company, Inc. and Time Warner Cable today announced that they have entered into an agreement which grants Time Warner Cable the right to continue carrying the signals of television stations owned and operated by NBC. The agreement was reached pursuant to the "retransmission consent" provisions of the 1992 Cable Act.
As part of the agreement, Time Warner Cable has agreed to launch on a national basis "America's Talking," a new cable programming service to be produced by NBC.
"America's Talking" will feature talk and information programming about news events and other topical issues, and will include live and taped coverage to enhance the talk format. Time Warner Cable also agreed to renew and extend carriage of CNBC, NBC's business and talk channel, which Time Warner currently provides to over 6 million of its cable subscribers nationally.
NBC's agreement with Time Warner will also provide the NBC station affiliates with the opportunity to negotiate agreements to provide local inserts into "America's Talking," creating a basis on which they can reach their own retransmission consent agreements with Time Warner.
NBC President and CEO Robert C. Wright said, "This agreement is a win-win transaction. It recognizes the significant marketplace value of NBC's owned and operated stations, and it also provides significant new value to Time Warner's cable subscribers. Under this agreement, NBC will provide the public with "America's Talking" -- a new and exciting cable service that will feature interviews and talk on the hottest events of the day. Most importantly, this agreement ensures that the Time Warner Cable subscribers in NBC owned station markets will continue to receive the local and national news, sports and entertainment programming service our stations provide. I'm also very pleased that our agreement provides an opportunity for our affiliates to participate in our arrangement with Time Warner."
"The arrangement with Time Warner recognizes the value of and our commitment to NBC's core broadcasting business while helping us to diversify and build assets in related businesses for the future," Wright said.
Commenting on the agreements, Joseph J. Collins, chairman and CEO of Time Warner Cable, said, "We are very pleased we will be able to continue to provide NBC's local and network programming in some of our most important markets. Time Warner believes that a good solution to retransmission consent is one which provides value to our viewers as well as to broadcasters through the creation of new program services. We are optimistic broadcasters will come to the same conclusion."
NBC owns and operates television stations in the following markets (ADIs) in which Time Warner Cable systems are located: New York (WNBC, Channel 4), Los Angeles (KNBC-TV, Channel 4), Chicago (WMAQ-TV, Channel 5) and Washington, D.C. (WRC-TV, Channel 4). NBC has 209 station affiliates. Time Warner Cable is the nation's second largest cable television operator with 7.1 million customers in 36 states. It is a unit of Time Warner Entertainment Company, L.P. (NYSE: TWX)
