 NATURAL EARTH TECHNOLOGIES ACQUIRES GOLDEN WEST CHEMICAL
 SANTA BARBARA, Calif., Aug. 21 /PRNewswire/ -- Natural Earth


Technologies, Inc. (NET) (NASDAQ: NETX) announced that it had acquired Golden West Chemical Distributors, Inc. (Golden West), a manufacturer and distributor of humic acid based agricultural products. Humic acid is the primary ingredient in NET's current lawn and garden products. The purchase price consisted of $1.1 million in cash and a four-year promissory note in the principal amount of $1,075,000.
 For the twelve months ended Dec. 31, 1991, Golden West had revenues of $2.6 million and pretax net income of $208,000. For the six months ended June 30, 1992, Golden West had revenues of $1.4 million and pretax net income of $221,000. Pretax net income does not reflect cost savings and other pro forma adjustments which will occur as a result of the acquisition.
 Robert Kassel, CEO of NET, stated that NET anticipates that the acquisition will contribute to its revenues and provide NET with a lower cost of supply of one of the primary ingredients of its products. The former president and sole shareholder of Golden West has agreed to remain as a consultant to Golden West for a period of six months. Fernando Erazo, NET's newly appointed vice president of Product Development, will serve as president of Golden West.
 The customer base of Golden West is located predominantly on the West Coast. Erazo intends to focus on increasing the penetration by Golden West of East Coast and South American markets, which he believes represents potentially lucrative markets.
 NET participated in the National Hardware Show recently held in Chicago where, according to Kassel, its Garden Thunder (TM) line of natural and/or organic lawn and garden products for homeowner use received extremely favorable response. According to Kassel, accounts which have committed to carry the Garden Thunder line in the spring of 1993 include, among others, True Value Hardware, ACE Hardware, Lowe's Home Depot, Frank's Nursery and Crafts, Home Base and Fred Meyer's.
 The common stock of NET is traded on NASDAQ under the symbol NETX.
