 NATIONAL MEDIA CORPORATION HOLDS ANNUAL SHAREHOLDERS' MEETING
 PHILADELPHIA, Feb. 5 /PRNewswire/ -- National Media Corporation (NYSE: NM) told shareholders attending the annual meeting today, "The restructuring of the company's management and new ventures in the European market should result in significant marketing and financial benefits."
 John J. Turchi Jr., chairman and chief executive officer, said, "National Media's new management team comprising administrative and marketing executives who are recognized as industry leaders greatly strengthens the company's position of importance in the fast-growing infomercial field. The opportunities for growth are particularly exciting in Europe where National Media has established new and highly promising marketing links in recent months."
 "These major internal developments will enable National Media to take full advantage of the anticipated upturn in the world economy and should speed our return to profitability," Turchi said.
 At the annual meeting the following were re-elected to the board of directors: Turchi, chairman of the board and chief executive officer; Mark P. Hershhorn, president and chief operating officer; Kevin Harrington, executive vice president; Edwin M. Ducat, president of Durrant Medical, Inc. and the Ducat Company; James J. Gillin, president of Petroleum Heat and Power Company; and Brian McAdams, president of McAdams, Richman & Ong, Inc.
 The meeting was adjourned to March 5, 1992, to consider the proposal relating to the adoption of the 1991 stock option plan, authorizing the issuance of options to purchase up to 2 million shares of common stock.
 The company presently estimates that revenues for fiscal year 1992 will be approximately $100 million with a loss of approximately $4 million to $5 million based on existing assumptions relating to administrative costs, new programs and other factors. This loss includes the estimated costs associated with resolving the company's outstanding legal issues and the realignment of its U.S. operating units.
 National Media, through its wholly owned domestic and foreign subsidiaries, markets a wide variety of products through infomercials and other direct-marketing methods in the United States, Canada and Europe.
