 NABISCO FOODS GROUP EXPANDS MEXICAN BUSINESS
 IN EXCHANGE WITH PEPSICO
 PARSIPPANY, N.J., June 16 /PRNewswire/ -- The Nabisco Foods Group today announced an agreement with PepsiCo Foods International, the international snack food division of PepsiCo, Inc. (NYSE: PEP), to exchange its 32 percent minority interest in Mexico's largest biscuit and cracker company, Grupo Gamesa, for five of the joint-venture's consumer food and pet food companies.
 PepsiCo Foods International holds the majority interest in Grupo Gamesa, which it acquired in 1990.
 Under the agreement, Nabisco receives Grupo Gamesa's pasta, confectionery, dry dessert mix, nuts and pet food businesses plus an undisclosed amount of cash in exchange for its minority share. The agreement also returns to Nabisco two of its well-known cracker trademarks, Ritz and Premium.
 Sales of the transferred businesses in 1991 totaled US$85 million, about 18 percent of Grupo Gamesa's total 1991 sales volume.
 Earlier this year, the Nabisco Foods Group acquired Lance, one of Mexico's leading biscuit and pasta manufacturers. The exchange with Grupo Gamesa strengthens the Nabisco presence in these categories.
