 MONTANA POWER SHAREHOLDERS MEET
 BUTTE, Mont., May 12 /PRNewswire/ -- Montana Power Co. (NYSE: MTP)


shareholders today elected five directors and approved a new Long-Term Incentive Plan, the company said. More than 87 percent in the common and preferred shares outstanding were voted in the company's annual shareholders' meeting.
 Elected to the three-year terms on Montana Power's board of directors were:
 John J. Burke -- vice chairman of the board of directors, Montana
 Power Co., Butte, 45,012,521 votes.
 R.D. Corette -- attorney, Butte, 45,021,179 votes.
 Arthur K. Neill -- executive vice president-Utility Services,
 Montana Power Co., Butte, 44,986,254 votes.
 Noble E. Vosburg -- business executive, Great Falls, Mont.,
 45,001,517 votes.
 Leland J. Walker -- engineering consultant, Great Falls, Mont.,
 45,062,497 votes.
 Shareholders also cast 38,750,751 votes in favor of adoption of a new Long-Term Incentive Plan. Votes cast in opposition to the plan totalled 5,613,872. The plan is designed to reward employees who make important contributions to the continued growth, development and financial success of the company. The new plan supersedes the Key Employee's Incentive Stock Ownership Plan which expires this year.
 Nearly 1,000 persons attended Montana Power's annual meeting of shareholders.
