 MICRO FOCUS FILES FOR SEC REGISTRATION
 LONDON, Nov. 27 /PRNewswire/ -- Micro Focus announced today that


it is filing a Form 20-F Registration Statement with the Securities and Exchange Commission (SEC) in Washington to register Micro Focus stock under the Securities Exchange Act of 1934 (1934 Act). The Form 20-F is subject to review by the SEC and possible change before the filing becomes effective. Registration under the 1934 Act will enable existing stockholders to trade their stock (or American Depositary Receipts ("ADRs") in the United States under the SEC's Rule 144.
 At present, except for sales to large institutional buyers under Rule 144A, Micro Focus stock cannot be sold directly into the U.S. by foreign stockholders.
 The filing of a Form 20-F Registration Statement is also a prerequisite for listing on NASDAQ, something that Micro Focus in its 1992 interim statement stated that it "had begun investigating."
 Paul O'Grady, the chairman, noted that "although the Form 20-F registration is a prerequisite to listing on NASDAQ, the board still has no immediate plans to seek a listing nor has it determined whether it would be a basic listing or on the National Market System."
 Micro Focus is a U.K. corporation which has been traded publicly on the London Stock Exchange since 1983. In June 1990, the company sponsored an ADR program with the Bank of New York. The ADRs are marketed through the "pink sheets". This program has resulted in approximately 34 percent of the company's stock being held in the form of ADRs as of Oct. 31, 1991.
 The company's accounts are reported in U.S. dollars and meet US GAAP requirements in addition to being reported in standard U.K. format. The company reports half yearly as is standard practice in the U.K.
 Because the company is a "Foreign Private Issuer" it need only report to the SEC the same information as it reports to its local stock exchange or is required to report to its stockholders under U.K. law. In particular, as a U.K. corporation, Micro Focus only reports half yearly and not quarterly.
