 MESA AIRLINES PROPOSED PUBLIC OFFERING
 FARMINGTON, N.M., March 24 /PRNewswire/ -- Mesa Airlines Inc.


(NASDAQ: MESA) today announced its intention to file a registration statement with the U.S. Securities and Exchange Commission for the registration of 1,300,000 shares of its common stock, including up to 67,500 shares to be sold by certain non-affiliate shareholders, for sale to the public. It is anticipated that the proposed offering will come to market during the early summer of 1992.
 A substantial portion of the net proceeds of the proposed offering would be used to satisfy a portion of the long-term indebtedness of WestAir Holding Inc. in connection with the previously announced pending acquisition of WestAir by Mesa. The balance of the net proceeds would be used for general corporate purposes.
 The proposed offering will be made only by means of a prospectus to be contained in the registration statement to be filed.
