 MESA AIRLINES ACQUIRES WESTAIR
 FARMINGTON, N.M., June 1 /PRNewswire/ -- Larry Risley, president


of Mesa Airlines Inc. (NASDAQ: MESA) and Maurice J. Gallagher Jr., president of WestAir Holding Inc. (AMEX: WAH) jointly announced today the completion of the merger of Mesa Acquisition Corp., a wholly owned subsidiary of Mesa Airlines, with and into WestAir. The merger became effective after a majority of WestAir shareholders voted to approve the merger at a Special Meeting held at 10 a.m., PDT, on May 29, 1992. A majority of Mesa Airlines shareholders at an Annual Meeting held at 10 a.m., MDT, on May 29, 1992, to approve the issuance to WestAir shareholders of Mesa common stock in an amount not to exceed 2,388,098 shares. Owners of record of WestAir common stock as of April 16, 1992 will receive 0.31 shares of Mesa common stock for each share of WestAir common stock.
 The company and its subsidiaries operate regional airlines servicing 23 states primarily in the Southwest, Rocky Mountain, Midwest and Southeast regions of the United States. The company operates as an independent air carrier out of its Albuquerque and Phoenix hubs. In the Rocky Mountain region, the company operates as United Express. In the upper Midwest region, the company operates as Skyway Airlines. In the lower Midwest and Southeast regions, the company operates as USAir Express.
 WestAir will operate as a wholly owned subsidiary of Mesa Airlines based in Fresno, Calif., pursuant to a code-sharing agreement with United Air Lines Inc. as United Express.
