MERRIMAC TO ACQUIRE MICROWAVE RESEARCH & DEVELOPMENT
 WEST CALDWELL, N.J., April 29 /PRNewswire/ -- Merrimac Industries,

Inc., (AMEX: MRM) announced today a non-binding agreement in principle for the acquisition of the business and assets of Microwave Research and Development, Inc., a Delaware corporation located in Newark, N.J. The acquisition will be dependent upon the negotiation and execution of a binding formal agreement by the parties.
Microwave Research and Development, Inc., known generally as MRD, was founded in 1985 to develop a new generation of wide band passive components required by communications, defense and aerospace industries worldwide. Products have been developed using an original computerized design model conceived by one of the founders, John Howard. These products have specifications that have frequencies extending beyond microwaves into the mm-band and are one of the industry leaders in bandwidth performance. Once the acquisition is complete, MRD's present operations will be relocated to the Merrimac plant in West Caldwell, where all the necessary design and manufacturing facilities are already in place.
Merrimac believes that blending the research and design expertise of MRD with that of Merrimac and recently acquired BTI (see press release of April 10, 1992), together with the manufacturing and marketing power of Merrimac Industries, will greatly enhance sales of all products. It is also anticipated that the consolidated technical resources will lead to many new multi-functional products that will have special appeal in satellite, aerospace, commercial and military markets.
Merrimac Industries, Inc., is located in West Caldwell, N.J. where it employs 120 persons in the manufacture of high performance components for communications, defense and aerospace. In recently announced year end results for 1991, Merrimac reported a net income of $1,211,492 from revenues of $12,956,188.
