MEGAHERTZ ANNOUNCES APPOINTMENT OF ADDITIONAL OUTSIDE DIRECTORS

 SALT LAKE CITY, Sept. 20 /PRNewswire/ -- Megahertz Corp. (NASDAQ: MEGZ) today announced that Sterling D. Colton and Anthony R. Muller have been appointed to serve as members of the company's board of directors.
 Colton is senior vice president, general counsel, and a member of the board of directors of Marriott Corp., a worldwide hotel, food and contract services provider with headquarters in the Washington, D.C. metropolitan area. Prior to joining Marriott Corp. in 1966, Colton was in private law practice.
 Muller is the senior vice president of Operations and Administration and chief financial officer of Centigram Communications Corp., a provider of voice, data and facsimile communication systems based in San Jose, Calif. Prior to his affiliation with Centigram, Muller served from 1985 to 1990 as vice president of Finance and chief financial officer of Silicon Valley Group Inc., a manufacturer of production processing equipment for the semiconductor industry.
 The appointment of Colton and Muller brings the number of Megahertz board members to six. Other board members include Spencer F. Kirk, David R. Spafford and Steven C. Aldous, founders and executive officers of Megahertz, and Kenneth M. Woolley, formerly chief executive officer of VyStar Group Inc.
 In June 1993 the company (formerly VyStar Group Inc.) completed a merger with then privately held Megahertz Corp. of which it owned 47 percent and commenced conducting business under the Megahertz name, with management of the former Megahertz Corp. assuming the management of the merged companies. Immediately following the merger, the company made a public offering of its shares raising over $35,000,000 in proceeds for the company.
 Megahertz is a leading manufacturer of high performance Data/FAX modems for use with portable computers. The company's products include PCMCIA modems featuring the XJACK(TM) retractable telephone connector system for use in all laptop/notebook computers having a PCMCIA expansion slot, internal form factor-specific modems for use with Apple, Compaq, Toshiba and Zenith laptop/notebook computers, and external "pocket" modems. Megahertz currently distributes its products under the Megahertz brand name in North America and Europe and sells its products directly to leading portable computer manufacturers under original equipment manufacturer (OEM) arrangements.
