MEGAFOODS ANNOUNCES PUBLIC OFFERING OF $100,000,000 OF SENIOR NOTES

 MESA, Ariz., Oct. 15 /PRNewswire/ -- Megafoods Stores Inc. (NASDAQ: MEGF) announced today the effectiveness of the registration statement relating to the public offering of $100,000,000 of 10 1/4 percent senior notes due 2000.
 The notes will be traded on the American Stock Exchange under the symbol MFS.
 The offering will be made by prospectus. PaineWebber Inc. will be the managing underwriter of the offering.
 Proceeds from the offering will be used to repay outstanding indebtedness, to finance the company's store expansion program and for general corporate purposes as desribed in the prospectus.
 Megafoods Stores Inc., operates 24 price impact supermarkets in Arizona, San Diego, and Imperial Counties in California., and in the greater Las Vegas market. In addition, Megafoods plans to open 15 stores in San Antonio later this month. The company has strategically positioned its stores between supermarkets and membership warehouse club stores by offering price-conscious consumers the convenience, broad selection, specialty departments and atmosphere of a supermarket while featuring the low prices, large-quantity packs and warehouse style merchandising that typify club stores.
