MEDGROUP, SYSTEM SAFE-T DEVELOPMENT AND MARKETING SIGN LETTER OF INTENT

 ENCINO, Calif., March 2 /PRNewswire/ -- Medgroup Inc. (NASDAQ: MDGP) and System Safe-T Development and Marketing Ltd., a privately held Nevada corporation, hereby announce that a letter of intent has been signed whereby Medgroup becomes the exclusive North American license holder for the proprietary System Safe-T Needle Point Protection System. The terms and conditions of the license are subject to the approval of the Medgroup and System Safe-T directors. The license is to be effective March 10, 1993.
 System Safe-T Development and Marketing Ltd. is the exclusive worldwide license holder for a new patented, disposable, low-cost, retractable hypodermic needle point protection system. The System Safe-T design prevents the accidental transmission of HIV (AIDS), HBV (Hepatitis) and other viruses after an injection. The needle is automatically retracted into the syringe body when an injection is finished. The used needle points is never exposed after use.
 Robert McGuire, Medgroup's chairman, stated "that this product is the most cost-effective needle point protection system available today; syringes that incorporate this design into current production can be sold at prices that are competitive with disposable non-safety syringes."
 The needle point protection system has undergone extensive testing in the United Kingdom where it has been approved for use. Product testing will begin in the United States with the next 45 days. Management anticipates that Food and Drug Administration pre-marketing approval for design incorporation into existing products will be granted shortly, though no assurance can be given to that effect at this time.
 Medgroup operates Physical Therapy Clinics in California and Arizona. It manufactures and distributes the "Soft Wash" line of dry soap impregnated sponges worldwide through its wholly owned subsidiary Hospital and Sports Supply, Dublin, Ireland, and provides out-patient treatment for enlarged prostate problems affecting men in the United Kingdom through PTS, London.
