 MECA SOFTWARE COMPLETES ACQUISITION OF GREAT AMERICAN SOFTWARE
 FAIRFIELD, Conn., Jan. 16 /PRNewswire/ -- MECA Software, Inc. (NASDAQ: MECA) today announced that it had completed the acquisition of Great American Software. As part of this agreement, MECA has purchased all of the outstanding capital stock of Live Free or Die Software, Ltd., the parent corporation of Great American Software. Great American Software, located in Nashua, N.H., develops, markets, and supports small business accounting software under the trade name, "One-Write Plus." Great American completed their fiscal year ended July 31, 1991, with net revenues of $8 million.
 Under the agreement, MECA will pay to the shareholders of Live Free or Die, Ltd. $2.8 million in cash at close with a deferred payment of $210,000 in cash, and will issue a three-year $800,000 Senior Subordinated Note and 100,000 shares of MECA common stock. As of the closing date total purchase price paid to shareholders of Live Free or Die, Ltd. was appromixately $4.35 million. In addition to the purchase price at closing, the shareholders of Live Free or Die Ltd. can earn additional amounts contingent on the net revenues of Great American Software for the 12-month period ended July 31, 1992. Based on potential future consideration (using current market values of MECA common stock), it is anticipated that the total purchase price will be approximately 45 percent of the net renues of Great American Software for the 12-month period ended July 31, 1992.
 Commenting on the acquisition, Daniel M. Schley, president of MECA Software, said, "The acquisition of Great American Software fulfills our long-standing strategic objective of becoming a major player in the rapidly growing small business marketplace. The addition of the highly regarded "One-Write Plus" accounting series to our current portfolio of personal finance and income tax products positions MECA with a best-selling title in each segment of the financial software market."
 Added Schley, "From the outset, we were particularly attracted to Great American Software and the One-Write Plus family of products. Like MECA, Great American Software's strategy is to derive a substantial percentage of its revenue from recurring sales to a loyal and expanding customer base through the sale of updates and enhancements and cross-sales of related products. The combination of our two companies now affords us the ability to market a whole new range of powerful financial applications to both sets of customers. Further, to the extent that both companies are concurrently developing, marketing and supporting financial software products, we expect to realize significant economies through the merger of those operating groups that form the core of our corporate infrastructure."
 John Merson, MECA's vice president of sales and marketing, pointed out that "customers and resellers of the 'One-Write Plus' line of accounting software will benefit greatly from having these products developed, marketed, and supported by a much larger software company that is committed to serving small businesses. In the 90s, owners of new and existing small companies are eager to move from manual accounting to computer systems. What small businesses like about 'One-Write Plus' products is that they build on the familiar interface of the manual approach. In addition, the 'One-Write Plus' products are backed by outstanding customer support and service. Finally, for those businesses with special needs, Great American has built a nationwide network of Qualified Installers who can assist small companies in making the transition from manual to computer accounting systems." Merson added that MECA will offer these computer and accounting professionals the opportunity to sell and install MECA's other finance and tax preparation software products.
 MECA Software, Inc. develops, publishes and markets a family of personal and business productivity software designed to assist individuals in managing personal or small business finances, preparing their income taxes, managinf personal legal affairs and organizing their business environment. MECA's products, which include Andrew Tobias' Managing Your Money, Andrew Tobias' TaxCut, Hyatt Legal Services Home Lawyer and The Manager's Organizer, are sold through independent distributors, software specialty chains, computer and office supply superstores, mass merchants and mail order outlets.
