 MALGARA RESIGNS AS HEAD OF QUAKER EUROPE;
 PURSUES PURCHASE OF QUAKER'S ITALIAN EDIBLE OILS BUSINESS
 CHICAGO, May 15 /PRNewswire/ -- The Quaker Oats Co. (NYSE: OAT) said today that Giulio Malgara, president-Quaker Europe and President-Quaker- Chiari & Forti, has resigned from the company after informing Quaker's board of his interest, as part of a group, in pursuing the possible acquisition of Quaker's Italian edible oils business. The board has authorized negotiations for the possible sale of the oils business, and Robert S. Thomason, 47, president - Pet Foods, Europe, was named to succeed Malgara as president - Quaker Europe.
 William D. Smithburg, chairman, president and chief executive officer said, "Giulio Malgara has made some important contributions to the success of our European businesses during his 20 years with Quaker, but his desire to have an ownership position in a business he successfully managed and helped build is quite understandable. The sale of our Italian oils business is by no means a certainty. We will, however, act in the best interests of our shareholders."
 Chiari & Forti, Quaker's Italian subsidiary, is a leading edible oil manufacturer in Italy. Its best known brand is Cuore corn oil, the market leader in its category. The oils business accounts for $125 million of Chiari & Forti's approximately $400 million in sales. Quaker first established a joint venture with Chiari & Forti in 1973 for the sale and distribution of pet food and subsequently acquired the Italian firm in 1978.
 Quaker's three core businesses in Europe are pet foods, cereals and Gatorade thirst quencher. In fiscal 1991, Quaker Europe accounted for $1.3 billion, or 24 percent of Quaker's consolidated sales.
 Malgara, 53, joined Quaker Italia as general manager in 1972; became managing director of Chiari & Forti in 1975; was named president - Gatorade, Europe, in 1991 and was appointed president - Quaker Europe later that same year.
 Thomason, who was raised and educated in England, joined Quaker in 1971 and held various financial and corporate planning positions at the company's Chicago headquarters prior to being named vice president - corporate planning and analysis in 1979. In 1980 he was named vice president - business development and planning, South and Central America. He was assigned to Quaker's European headquarters in Brussels in 1982 as vice president - business development and planning, Europe. He was named managing director - Quaker Oats Ltd., United Kingdom, in 1984; he became vice president - Pet Foods and chairman - Quaker U.K. in 1990; he was promoted to president - Pet Foods, Europe, in 1991.
 Quaker is an international marketer of foods, pet foods and beverages. The company's corporate headquarters is in Chicago and its European headquarters is in Brussels.
