 LANDMARK STOCKHOLDERS APPROVE ACQUISITION BY INTEGRA
 PITTSBURGH, April 23 /PRNewswire/ -- At a special stockholders


meeting held today, Landmark Savings Association (AMEX: LSA) stockholders approved its proposed acquisition by Integra Financial Corporation (NASDAQ: ITGR).
 Of the total outstanding shares, 87 percent voted in favor of the acquisition.
 The boards of directors of Landmark and Integra Financial Corporation had approved a definitive acquisition agreement previously. Under the terms of the merger agreement, each share of Landmark common stock (other than shares held by Integra in a non- fiduciary capacity) will be converted into the right to receive .317 shares of Integra Financial Corporation common stock. The acquisition has been approved by the Office of Thrift Supervision and certain preliminary approvals to facilitate the transaction have been obtained from the Pennsylvania Department of Banking. The acquisition is still subject to the approval of The Federal Reserve Board and final acceptance by the Pennsylvania Department of Banking, and is expected to be completed late in the second quarter, or early in the third quarter, of 1992.
 Landmark Savings Association is currently a state-chartered, publicly-owned savings association with assets of approximately $1.4 billion. It is the second largest independent stock thrift institution in Pennsylvania. Landmark's common stock is listed on the American Stock Exchange (AMEX), trades under the symbol "LSA" and is reported in the financial press as "LdmkSV."
 Integra's major affiliates include Integra Bank/South based in Uniontown, Pa., Integra Bank/Pittsburgh, Integra Bank/North and Integra Trust Company. At Dec. 31, 1991, Integra had total consolidated assets of $8.8 billion which served markets in 22 counties in Pennsylvania through 215 offices. Integra Financial Corporation common shares are traded on the NASDAQ over-the-counter market under the symbol "ITGR" and is reported in the financial press as "IntegFn."
