 LANDMARK SAVINGS ASSOCIATION AND INTEGRA FINANCIAL CORPORATION ANNOUNCE RECEIPT OF OTS APPROVAL AND EXTENSION OF APRIL 30 DEADLINE
 PITTSBURGH, April 2 /PRNewswire/ -- Landmark Savings Association (AMEX: LSA) and Integra Financial Corporation (NASDAQ: ITGR) announced the Office of Thrift Supervision ("OTS") has approved, by letter dated March 27, 1992, Integra's application to acquire Landmark, subject to certain standard conditions.
 One of the conditions imposed is that the acquisition be consummated within 120 calendar days of March 27, 1992, unless an extension is granted for good cause. By letter dated March 31, 1992, the OTS also confirmed that the April 30, 1992 deadline contained in Landmark's Capital Directive has been extended to July 25, 1992, which is 120 days from March 27, 1992.
 The acquisition is still subject to approval by Landmark's stockholders and the receipt of other required regulatory approvals. Landmark's stockholders meeting will be held April 23, 1992. Landmark and Integra expect the acquisition to be completed in the second quarter of 1992. Under the terms of the merger agreement, each share of Landmark Savings Association common stock will be cancelled and converted into the right to receive .317 shares of Integra Financial Corporation common.
 Landmark operates 24 branch offices in Allegheny, Butler, Washington and Westmoreland counties. Landmark is currently a state- chartered, publicly owned savings association which became a public company in 1984. With assets of $1.4 billion at Dec. 31, 1991, it is the second largest independent stock thrift institution in Pennsylvania. Landmark's common stock is listed on the American Stock Exchange, trades under the symbol "LSA" and is reported in the financial press as "LdmkSV."
 Integra Financial Corporation, with assets of $8.8 billion at Dec. 31, 1991, operates more than 200 offices throughout Western Pennsylvania. Its banking affiliates include Integra Bank/South, Integra Bank/Pittsburgh, and Integra Bank/North, which serve the western third of Pennsylvania. Integra also operates life insurance, credit card, brokerage, investment and leasing subsidiaries. Integra Financial Corporation common shares are traded on the NASDAQ over-the- counter market under the symbol "ITGR."
