LA QUINTA REALTY ANNOUNCES THAT INDEPENDENT ELECTION INSPECTOR APPOINTED TO VERIFY CONSENT TABULATION

SAN ANTONIO, Texas, Jan. 15 /PRNewswire/ -- La Quinta Realty Corp., the general partner of La Quinta Motor Inns Limited Partnership (NYSE: LQP) (the "partnership"), announced today that, upon application of the parties, a Delaware federal court has agreed to the appointment of an independent election inspector to undertake a tabulation of the consents delivered by Ronin Partners, L.P. in support of the proposals contained in its latest solicitation.
The general partner believes that this independent election inspector will verify that Ronin failed to deliver to the partnership valid, unrevoked consents of limited partners representing more than 50 percent of the partnership units in support of Ronin's proposals. The results of the independent inspector's tabulation will be presented to the court by Feb. 4 and will be subject to challenge in court. The court is not expected to rule before the hearing currently scheduled for Feb. 8, 1993. As previously announced, Ronin and the partnership have agreed that the consents have no effect until the federal court determines their validity and effectiveness.
Steven T. Schultz, president of the general partner, commented "The partnership's inns continue to operate normally, and we continue to provide our guests with the high quality accommodations they expect from us. We believe that the properties achieve their maximum profitability when operated as La Quinta hotels and we will continue to oppose vigorously any effort by Ronin to liquidate the partnership. Moreover, we believe that Ronin's consent solicitation was conducted in violation of federal securities laws and the partnership agreement, and that its proposals constitute an effective removal of the general partner, which requires the consent of limited partners holding the right to vote more than 80 percent of all units."
La Quinta Realty Corp., the general partner of the partnership, is a wholly owned subsidiary of La Quinta Motor Inns, Inc., the entity which manages the partnership's inns and restaurants. La Quinta Motor Inns Limited Partnership owns 31 La Quinta Inns and 20 restaurants in 15 states.
