Kimberly-Clark and VP-Schickedanz to form European joint venture.

Two major international consumer products companies, VP-Schickedanz AG, Nuremberg, Germany and Kimberly-Clark, Dallas, TX, recently signed a letter of intent to form a 50:50 consumer products joint venture in Europe. The joint venture agreement calls for the formation of a multinational company that will manufacture and market various consumer products throughout Europe.

All of the VP-Schickedanz manufacturing facilities - six in Germany, two in Spain and one each in Italy and France - and Kimberly-Clark's two French operations and one in the Netherlands will be combined into one organization. Kimberly-Clark's consumer businesses in the United Kingdom and Ireland and its European specialty products and service and industrial businesses are not included in the new venture.

A name for the joint venture and the location of company headquarters have not yet been chosen, but the transaction is expected to be finalized late this year. Annual sales for the combined facilities are estimated at $1.2 billion with about two-thirds of the sales expected to come from VP-Schickedanz products. The company manufactures disposable baby diapers under the trade names "Born" and "Moltex," feminine hygiene products tradenamed "Camelia" and adult incontinence - through Temca GmbH - under the name "Certina."

Kimberly-Clark predicts greater access to German-speaking markets and improved positions in Spain and Italy where the company currently does business through licensees. VP-Schickedanz will gain an increased presence in France and the Benelux countries from the joint venture as well as gaining from Kimberly-Clark's technological knowledge and experience with fibers, nonwovens and absorbency.
