KODAK ANNOUNCES SALE OF ESTEK TO ADE CORPORATION

ROCHESTER, N.Y., Nov. 23 ~PRNewswire~-- Eastman Kodak Company (NYSE: EK) and ADE Corporation, of Newton, Mass., today announced an agreement for ADE to purchase Kodak's Estek Products Division, headquartered in Charlotte, N.C.
Terms of the agreement were not disclosed.
Estek manufactures and markets equipment utilized in the semiconductor industry to detect and analyze contamination on silicon wafers. Estek was formed as a venture company in early 1986 and is a division of Eastman Technology Inc., a Kodak subsidiary. Estek employs approximately 60 employees at its Charlotte plant.
As a result of this acquisition, Estek will be a division of ADE Corporation and continue to operate at its current location in Charlotte. John Schmits, former president of Estek, will retain responsibility for the Charlotte operation as general manager of the Estek Division of ADE. In addition, Schmits will join the ADE management team as a senior vice-president of ADE Corporation.
"It has become evident that Estek's business does not have the proper long-term strategic fit in the Kodak organization required for it to prosper," Schmits said. "With ADE's solid position in the semiconductor industry, Estek's business potential will be greatly enhanced. Our products provide a natural fit with the measurement equipment that ADE currently manufactures and markets."
ADE Corporation president and chief executive officer Robert Abbe noted he is optimistic regarding the opportunities presented by this acquisition. "This venture is advantageous both to Estek and the industry. Estek will benefit from ADE's sales, service and distribution support in bringing its products to its key markets." Abbe continued, "By adding Estek's contamination detection equipment to ADE's current product offering, we are able to provide a broader range of integrated production and process control capabilities to our customers."
ADE Corporation, headquartered in Newton, Mass., celebrates its 25th year of business this year. ADE is a leading supplier of wafer characterization, process control and handling equipment for the semiconductor materials, device and equipment industries worldwide. ADE measurements are the industry standard for thickness, flatness and shape of silicon wafers.
