 ATLANTA, Sept. 20 /PRNewswire/ -- U.S.-based applications development vendor KnowledgeWare, Inc. (NASDAQ-NMS: KNOW) and Ernst & Young Australia today announced they have drafted a memorandum of understanding for KnowledgeWare to acquire Ernst & Young's CASE Technology Pty Ltd. based in Sydney, Australia.
 As a result of the pending agreement, KnowledgeWare Worldwide, the company's international operation, expects to assume direct responsibility for sales, marketing and support of KnowledgeWare products in Australia and New Zealand as well as other areas in the Southeast Asia region.
 Ernst & Young CASE Technology is a wholly owned subsidiary of Ernst & Young and has been KnowledgeWare's distributor in Australia and New Zealand since 1986. In addition, Ernst & Young CASE Technology has also been involved in technical support and training activities for KnowledgeWare users in Hong Kong, Malaysia, Singapore and the Philippines. Terms of the pending agreement were not disclosed.
 KnowledgeWare plans to establish its Southeast Asia headquarters in Sydney and to begin operations with personnel transferred from Ernst & Young CASE Technology, with support from KnowledgeWare Worldwide executives and staff.
 Lewis Ting, chief executive officer of Ernst & Young in Australia, said, "KnowledgeWare's proposed acquisition reflects Australian business and government advocating multinational companies using Australia as regional headquarters for expansion into Asia, and emphasizes Australia as a valuable source of technology experience throughout the region."
 Richard M. Haddrill, president of KnowledgeWare Worldwide, said KnowledgeWare's activities will reach substantially beyond Australia and New Zealand, and are likely to include Singapore, Malaysia, Thailand, the Philippines and Indonesia. "This furthers the expansion of KnowledgeWare's direct involvement in worldwide markets. Our new headquarters in Sydney is strategically located to expand KnowledgeWare operations throughout Southeast Asia as well as Australia and New Zealand."
 Should the acquisition be finalized, it is anticipated that John R. Nixon, Ernst & Young CASE Technology managing director and Ernst & Young senior partner, would continue his integral association with KnowledgeWare. Nixon said: "We will maintain our close links with Ernst & Young and will provide the same high levels of service and responsiveness for our customers. As a part of KnowledgeWare, we will have greater control over our ability to deliver total application development solutions to our customers."
 Ernst & Young International member firms have provided distribution and support services for KnowledgeWare products outside the U.S. since 1986. In March 1993, KnowledgeWare completed the acquisition of Ernst & Young's CASE distributor business in Belgium, Denmark, Finland, France, Germany, Italy, the Netherlands, Norway, Portugal, Spain, Sweden and the United Kingdom.
 The proposed transaction is conditional upon the completion of certain formalities and is expected to be concluded by December 1993.
 KnowledgeWare is the market leader in providing application development solutions for client/server, mid-range and mainframe environments. KnowledgeWare products are currently used by more than 4,200 companies and supported by more than 70 independent software vendor and consultant products. As of June 30, KnowledgeWare had shipped more than 108,000 products to 35 countries. Revenues for the fiscal year ended June 30 were $128.6 million.
