KNOWLEDGEWARE COMPLETES ACQUISITION OF ERNST & YOUNG'S EUROPEAN CASE DISTRIBUTION BUSINESS

 ATLANTA, March 5 /PRNewswire/ -- KnowledgeWare, Inc. (NASDAQ-NMS: KNOW) and Ernst & Young today announced that KnowledgeWare has formally completed the acquisition of Ernst & Young's European CASE distributor business.
 Both companies announced an agreement in principal in December 1992.
 Since 1986, Ernst & Young has been the exclusive distributor for KnowledgeWare in Europe. KnowledgeWare now has direct distribution operations in most European countries including Belgium, Denmark, Finland, France, Germany, Italy, the Netherlands, Norway, Portugal, Spain, Sweden and the United Kingdom.
 The final purchase price will range between US $17 million to $28 million depending on revenue performance during the next four years.
 Ernst & Young International Member firms have provided distribution and support services for KnowledgeWare products in 32 countries outside the U.S. since 1986. Both organizations plan to continue the traditional distributor relationship outside of Europe.
 KnowledgeWare is the market leader in providing application development solutions for client/server, mid-range and mainframe environments. KnowledgeWare's Application Development Workbench is currently used by more than 4,100 companies and supported by 70 independent software vendor and consultant products. On Dec. 31, 1992, KnowledgeWare had shipped more than 104,000 units to 35 countries, and had revenue in excess of $115 million for the fiscal year ended June 30, 1992.
