KNOWLEDGEWARE ACQUIRES MATESYS CORP.

 -- ObjectView Client/Server Development Product Added
 to KnowledgeWare's Portfolio --

 ATLANTA, Jan. 18 /PRNewswire/ -- KnowledgeWare, Inc. (NASDAQ-NMS: KNOW) today announced that it has entered into an agreement to acquire Matesys Mathematic Systems S.A. and its subsidiary, Matesys Corp.
 Matesys Corp. develops and markets ObjectView, an object-oriented client/server development tool that supports Windows and OS/2.
 "KnowledgeWare has a comprehensive client/server development strategy that spans enterprise, department and single user scale development requirements," commented KnowledgeWare Chief Technical Officer Michael Ryan. "This acquisition is specifically targeted at rapid development of new, relational database client/server applications. With ObjectView, Flashpoint and the Application Development Workbench, not only do we support 'Big CASE' for enterprise- scale development, but we cover 'little CASE' as well."
 Ryan continued: "The addition of ObjectView to our product portfolio means we have a complete client/server application development solution, regardless of the scale or complexity of the development task at hand. This is what our customers are asking for."
 KnowledgeWare plans to support ObjectView with consulting, training and methods and to offer an interface between ObjectView and the Application Development Workbench. "This level of support is what it takes to maintain our leadership position," said KnowledgeWare President Donald Addington. "Our customers have complex development environments, and they want us to provide tools, services and strategies for managing model-driven requirements and distributed client/server development. We have a unique and comprehensive plan for meeting our customers' needs, and we are excited about this acquisition because it is a key component of our product strategy."
 ObjectView was introduced in February 1991 and more than 3,000 copies of Version 1 have been shipped. Version 2 was announced by Matesys on Oct. 13, 1992, and is currently in use at approximately 50 beta test sites. Matesys Corp. President Michel Prompt said: "ObjectView 2.0 represents the most advanced tool for developing graphical user interfaces for SQL databases on the market. In the context of KnowledgeWare's product strategy and its strength as a development and marketing company, we can more quickly bring the promise of ObjectView to fruition." Prompt, the technical architect of the ObjectView product, plans to join KnowledgeWare and continue his role as development executive.
 Matesys has approximately 20 employees and is based in Larkspur, Calif. Matesys Mathematic Systems S.A. is based in Paris. Under the acquisition agreement, KnowledgeWare will issue 900,000 shares of its common stock in exchange for the Matesys stock. The acquisition will be accounted for by KnowledgeWare as a pooling of interests. The acquisition is expected to be consummated in late February.
 KnowledgeWare is the market leader in providing application development solutions for client/server, midrange and mainframe environments. KnowledgeWare's Application Development Workbench encyclopedia has become a de facto standard for business applications development, and is currently used by more than 4,000 companies and supported by over 70 independent software vendor and consultant products. As of November 1992, KnowledgeWare had shipped over 100,000 products to over 35 countries, and had revenue in excess of $115 million for the fiscal year ended June 30, 1992.
