KATY INDUSTRIES RELEASES LETTER IN SHAREHOLDERS' LITIGATION

 NEW YORK, Nov. 11 /PRNewswire/ -- Katy Industries, Inc. (NYSE: KT) today released the following:
 ELGIN, Ill., Nov. 11 -- Katy Industries, Inc. (NYSE) announced today that it understands that the Carroll Family's Delaware counsel sent the following letter to counsel for the Rosecliff/Pensler group:

At the hearing before Chancellor Allen in Delaware today, your Delaware counsel advised the Court that there has been a falling out between Rosecliff, Inc. and Pensler Capital Corp., that one of those entities was or may be dropping out of the bidding for Katy Industries, Inc., and that the remaining partner was in the process of attempting to secure a substitute partner and/or substitute financing. As counsel to the Carroll Family, we believe that these are material developments and require immediate public disclosure by your client of all material details.
