KATY INDUSTRIES BOARD RECEIVES LETTER FROM KATY HOLDINGS VP JOHNSON

 ELGIN, Ill., Dec. 1 /PRNewswire/ -- Katy Industries, Inc. (NYSE: KT) announced today that its board of directors received the following letter from Philip E. Johnson, vice president of Katy Holdings, Inc.

 This letter serves as notice that effective as of the date of this notice Katy Holdings, Inc. (``Holdings'') hereby terminates the Merger Agreement between Katy Industries, Inc. and Holdings dated March 23, 1993, as amended, pursuant to Section 7.1 (b) of such agreement.
 Katy Industries, Inc. is a diversified corporation with interests in industrial machinery, industrial components and consumer products.
