KAHN ANNOUNCES ACQUISITION OF INTEREST IN AMERIHEALTH

MIAMI, May 11 /PRNewswire/ -- Albert H. Kahn, a Miami investor, announced today that he, together with the pension plan of Kahn/Carlin & Company, Inc., the insurance agency he owns, had acquired more than 5 percent of the outstanding common stock of AmeriHealth, Inc. (AMEX: AHH), an Atlanta-based hospital management company. Kahn also announced that he plans to communicate with other shareholders of the company with respect to his views on how shareholder values might be maximized.
After experiencing losses applicable to common stock in each of 1990 and 1991, the company made a profit in 1992. "I want to make sure," said Kahn, "now that the company is beginning to show positive results, that the shareholders, and not just management, receive some of the benefits." Kahn indicated that he may oppose the proposed increase in the maximum number of shares of stock that may be issued under the company's stock option plan from 1.1 million to 1.6 million shares. The proposal is to be presented at the company's annual stockholders meeting to be held on May 27, 1993.
Kahn also expressed some concern over the levels of executive compensation reported in the company's proxy statement. During the year ended Dec. 31, 1992, William G. White, the chairman of the board, president and chief executive officer of the company, received salary, including deferred compensation, of $245,769, a bonus of $75,000, and options to acquire 250,000 shares of the company's stock.
