JONATHAN M. CLARK OF DAVIS POLK TO JOIN MORGAN STANLEY AS GENERAL COUNSEL

 NEW YORK, Jan. 5 /PRNewswire/ -- Morgan Stanley Group Inc. (NYSE: MS) announced today that Jonathan M. Clark, 55, a senior partner at Davis Polk & Wardwell, will become general counsel and secretary of Morgan Stanley Group, effective Feb. 1.
 Mr. Clark succeeds Philip A. Lacovara, who has been Morgan Stanley's general counsel and secretary since 1990. Mr. Lacovara, 49, informed Morgan Stanley last month that he would resign as of Feb. 1 to pursue other opportunities, although he has agreed at the firm's request to remain as a senior advisor during a transition period after Feb. 1.
 Mr. Clark will be the firm's senior legal officer, responsible for management of the firm's 135-member legal and regulatory affairs department. He will also be responsible for government relations. In addition, Mr. Clark will become a member of Morgan Stanley's operating committee.

"Jonathan has been working closely with firm management for many years, and he knows Morgan Stanley and the financial services industry extremely well. At the same time, he brings a seasoned outside perspective that will be valuable to the firm as its business becomes increasingly global and complex."
 Mr. Clark joined Davis Polk & Wardwell in 1964, after receiving his LL.B. degree from the University of Virginia in 1964 where he was a member of The Law Review and the Order of the Coif. He received his B.A. degree from Yale in 1959. Mr. Clark became a partner at Davis Polk in 1971 specializing in corporate and securities matters, and served for six years on its management committee and as head of its corporate department.
 Mr. Clark was a special consultant to the Staff of the Warren Commission and is a member of the Financial Services Volunteer Corps Missions to Poland. He is a member of the Association of the Bar of the City of New York and the New York State and American Bar Associations. He is a trustee of the Greenwich Hospital Association and formerly a trustee of the Greenwich Country Day School.
