JLG INDUSTRIES MANAGEMENT OPPOSES GROVE LAWSUIT

McCONNELLSBURG, Pa., April 30 /PRNewswire/ -- JLG Industries today issued the following statement:
Management of JLG Industries, Inc. (NASDAQ-NMS: JLGI) announced that the company will vigorously oppose a meritless lawsuit filed yesterday afternoon by John L. Grove against the company and all but one of the company's other directors.
The lawsuit claims the board of directors acted improperly when in February it amended the company's bylaws to provide that a special meeting of shareholders may be called only by the board or by joint request of the chairman of the board and the president. Pennsylvania law provides that special meetings may be called only by the board or by such officers or other persons specified in the bylaws. Pennsylvania law and JLG's charter and bylaws reserve to the board the right to amend the company's bylaws in this regard.
Yesterday during a five-hour special board meeting called to resolve Mr. Grove's differences with the board, Mr. Grove did not inform the board that he had already filed the lawsuit. President and Chief Executive Officer L. David Black stated, "Mr. Grove made clear in yesterday's meeting that he disagrees with the board's judgment regarding our management's performance. The unfortunate action he has taken will not distract the board and management from pursuing the company's business objectives."
JLG Industries, Inc. is a manufacturer and international marketer of aerial work platforms and a leading producer of truck-mounted materials- handling equipment. Sales are made principally to independent distributors who sell and rent the Company's products to a broad customer base, which includes users in the industrial, commercial, institutional and construction markets.
