 ITI ANNOUNCES NEW OFFICERS, EXECUTIVE OFFICE MOVE AND TOLL CENTER CONSOLIDATION, INTERIM FINANCING AGREEMENT WITH HAAN, WILTEL AGREEMENT
 DALLAS, Nov. 22 /PRNewswire/ -- Continuing its reorganization plans subsequent to the acquisition of the Telesphere Communications, Inc., assets, International Telecharge, Inc. (AMEX: ITI) today announced the election of the following officers:
 Ronald J. Haan, chairman and chief executive officer
 Robert E. Lund, president (interim)
 Evans Anderson, executive vice president, sales and marketing
 Bruce Campbell, senior vice president, operations
 Thomas M. Hyatt, senior vice president and chief financial officer
 William M. Elliott, senior vice president, legal affairs and
 corporate secretary
 Greg Casey, senior vice president, regulatory and telco relations
 Wayne Charity, vice president, management information systems
 The company also announced that it will move its executive offices from Dallas to Bethesda, Md., and consolidate its operator services operations. Telesphere toll centers in Raleigh, N.C., and Orlando, Fla., will be closed mid-December and late January, respectively, and all ITI operator services will be consolidated in the company's state- of-the-art operator toll center in Dallas.
 Announcing the management organization, Haan said, "The new senior management team of ITI merges the top talent and leadership from ITI and Telesphere. This group represents the best and the brightest in this industry."
 Haan added: "We regret that Bob Lund has chosen not to move to Bethesda, but respect his desire to remain in Dallas. Fortunately, he has agreed to serve in the interim, and we will continue to benefit from his leadership and experience through this transition."
 The company also announced that it has entered into an additional agreement with Williams Telecommunications Group, Inc. (WILTEL) providing for revenue and cost allocations to facilitate the transition of ITI's traffic onto the WILTEL network.
 In addition, ITI announced that Haan has agreed to provide interim receivables financing, pending receipt by ITI of long-term receivables financing for the combined ITI and former Telesphere accounts. On Nov. 20, 1991, R. Haan Ventures paid ITI's receivables lender, Security Pacific Business Credit, Inc., the amounts outstanding on ITI's receivables facility, and assumed from that lender the company's loan agreement, security interest and related documents. On Nov. 22, 1991, ITI and R. Haan Ventures modified the loan agreement to cure defaults and lower the interest rate for loans under that agreement.
 As part of this assignment and modification of the loan agreement, R. Haan Ventures has a security interest in the receivables from the ITI customer base in addition to the other collateral covered in the loan agreement. This interest secures ITI's payment obligations to R. Haan Ventures for the interim financing and the previously announced royalty obligation (estimated at $14 million) from the purchase by ITI of certain Telesphere assets and reimbursement of certain related costs. In addition, and as part of the interim financing, R. Haan Ventures has the right, upon the occurrence of any of the specified defaults in the loan agreement, to accelerate repayment of the interim financing and, in certain limited circumstances, repayment of the royalty.
 In connection with interim financing, ITI has approved an amendment to the previously announced agreement covering the company's purchase of certain Telesphere assets from R. Haan Ventures. This amendment provides R. Haan Ventures the right to rescind the transfer of Telesphere assets to ITI in the event that ITI shareholders fail to pass the issuing of stock warrants to Mr. Haan under certain circumstances as set forth in the agreement. ITI contemplates that this matter will be presented to shareholders for their approval at a special shareholders meeting called for this purpose prior to Feb. 28, 1992.
