IONICS AGREES TO ACQUIRE RESOURCES CONSERVATION COMPANY

WATERTOWN, Mass., Jan. 6 /PRNewswire/ -- Ionics, Incorporated (NYSE: ION) announced today that it had agreed to acquire the assets and business of Resources Conservation Company (RCC), a subsidiary of Halliburton NUS Corporation (NYSE: HAL), for $11 million in cash plus contingent payments of up to $3 million. RCC's revenues for the first 11 months of 1993 were approximately $25 million.
RCC's line of evaporators and crystallizers are used in the treatment of water and wastewater to enhance recycling and recovery while reducing or eliminating liquid waste. RCC's products are expected to integrate very well with Ionics' membrane-based water desalination, purification and treatment systems, particularly for "zero liquid discharge" and other environmental and process improvement applications.
Commenting on the acquisition, Arthur L. Goldstein, Ionics' chairman and CEO, noted that "the products, markets and businesses of RCC and Ionics complement each other very well. Through its international sales organization, Ionics will be introducing RCC products into a number of foreign markets. At the same time, RCC will help Ionics achieve and broaden its strategic objectives and existing capabilities in wastewater treatment and minimization. Particular emphasis will be placed on 'own and operate' opportunities similar to those which Ionics has pioneered in water treatment."
Ionics is a separations technology company involved worldwide in the manufacture and sale of membranes and related equipment for the purification of water, in the supply of purified water and water treatment chemicals, and in the sale of bottled water and home water purifiers.
