 OF POLLUTION CONTROL SYSTEMS DIVISION
 TORRANCE, Calif., Feb. 25 /PRNewswire/ -- International Technology Corp., (NYSE: ITX) (IT) announced today the signing of a letter of intent with Koch Engineering Inc. (Koch) to sell the manufacturing related operations of IT's Pollution Control Systems (PCS) division located in Tulsa, Okla., and Hull, England. The proposed transaction does not include the division's thermal process engineering group in Knoxville, Tenn., and IT's Hybrid Thermal Treatment System(R) (HTTS)(R) technology.
 PCS designs and manufactures combustion, hydrocarbon vapor recovery, waste treatment and other environmental control systems. Koch plans to combine PCS with the operations of its division, John Zink Co., a Tulsa- based supplier of combustion and air quality control equipment, primarily to the oil refining and petrochemical industries.
 The proposed cash sale is valued at approximately $30 million. The terms of the transaction provide for the acquisition of certain assets and assumption of specified liabilities. A definitive agreement is expected to be executed within 30 days. Closing of the sale will be subject to certain conditions including, among other things, compliance with various regulatory requirements, corporate approvals, and satisfactory completion of due diligence by Koch. The sale is expected to close in approximately two months. IT expects to account for the transaction as discontinued operations effective in the fourth quarter of fiscal year 1992.
 "This divestiture of the manufacturing related operations of PCS is consistent with IT's long-term strategic objectives of focusing on the expansion of our integrated services business, in the areas of environmental engineering, analytical and remediation," said Murray H. Hutchison, chairman and chief executive officer. "We intend to maintain a close relationship with John Zink after the acquisition to provide IT equipment support related both to our thermal remediation business which utilizes the HTTS technology as well as to our thermal process engineering group in Knoxville for their client requirements."
