 ANNOUNCES OFFER FOR TVS ENTERTAINMENT PLC
 VIRGINIA BEACH, Va., Sept. 18 /PRNewswire/ -- Tim Robertson, president and CEO of International Family Entertainment, Inc., (NYSE: FAM), the American owner of The Family Channel television network, announced today that IFE has reached agreement with the London-based TVS Entertainment PLC on the terms of an offer to be made by IFE to acquire all of the outstanding shares of TVS. The proposed acquisition would include TVS and its subsidiaries, including MTM Entertainment, Inc., headquartered in the United States.
 Robertson also disclosed IFE's intentions of initiating a version of The Family Channel in Great Britain.
 Under the terms of the offer, the holders of TVS ordinary shares and the holders of TVS preference shares will be given the option to accept either shares of IFE's Class B common stock or a combination of shares and cash, in exchange for the TVS shares. The offer values the entire share capital of TVS at approximately 38.2 million pounds sterling ($68.5 million).
 The closing of the acquisition is subject to certain contingencies, including the tender of at least 90 percent of TVS's shares. It is expected that the acquisition, subject to the satisfaction of certain conditions, will be completed in early January 1993.
 TVS is an independent TV contractor that has been engaged primarily in the operation of the independent TV broadcast license for South and South-East England and in the development, production and distribution of television series and other programs. Its independent television broadcast license is due to expire at the end of this year.
 MTM, an independent producer of television programs which it distributes worldwide, is headquartered in the United States. Its film library includes such series as "Lou Grant," "Hill Street Blues," "The Mary Tyler Moore Show," "The Bob Newhart Show," "Remington Steele," "St. Elsewhere" and many others, as well as TV movies and specials. Also included in the MTM library is the current production of "The New WKRP in Cincinnati" and the CBS series, "Evening Shade," both of which are now airing.
 Robertson said IFE expects that the film libraries of both TVS and MTM will be valuable to IFE's future programming needs. He also pointed out that the acquisition of TVS is expected to provide IFE with the programming, advertising and sales expertise to accelerate its launch of a program service in the United Kingdom and European markets.
 "TVS has produced programming with a family-oriented focus that is compatible with IFE's programming needs," Robertson said. "Its capabilities are expected to enhance IFE's efforts to produce programming for the international markets. We also expect to benefit from MTM's extensive experience in the syndication of its programming," he added.
 IFE expects to make its UK version of The Family Channel available to cable systems in Great Britain on weekends. Plans call for programs to be aired Fridays from 6 to 12 p.m. and Saturdays and Sundays from 7 a.m. to midnight.
 A registration statement relating to the shares has been filed with the Securities and Exchange Commission but has not yet become effective. The shares may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
