INSTEEL INDUSTRIES ANNOUNCES MERGER OF SUBSIDIARIES

 MOUNT AIRY, N.C., Aug. 2 /PRNewswire/ -- Insteel Industries, Inc. (NYSE: III), a major producer of wire and wire products, today announced it is merging four of its companies into one, Insteel Wire Products.
 Expo Wire Company, Rappahannock Wire Company, Forbes Steel & Wire, and Federal Nail will be combined under the Insteel Wire Products name, effective Sept. 30, 1993. The operational changes including use of the new name will take place immediately.
 "The merger of our wire companies into a single entity, Insteel Wire Products, completes a process that began two years ago when we consolidated the management functions of our wire companies," said H. O. Woltz III, president and chief executive officer of Insteel Industries. "We believe our new structure will help us become a stronger competitor as we continue to reduce costs and improve quality and responsiveness."
 The four companies became part of Insteel through internal growth and acquisitions. They originally served different markets, each with its own customers. As the company grew, overlap occurred in products manufactured and customers served.
 The company's Insteel Construction Systems, Inc. subsidiary isn't affected by the restructuring. Insteel Construction Systems, based in Brunswick, Ga., manufactures the Insteel 3-D(R) construction panel. The polystyrene panels are sandwiched in wire mesh, to which concrete is applied in the field. Buildings and houses constructed with the 3-D panels have survived earthquakes and hurricanes structurally intact.
 Founded in 1953, Insteel Industries is one of the nation's largest wire and wire products manufacturers. The company employs approximately 1,000 people and operates plants in seven states and Mexico.
