ING GROUP AND NATIONALE NEDERLANDEN SET TOP MANAGEMENT CHANGES: VAN RIJN TO RETIRE AS CHAIRMAN OF ING GROUP AND NN JULY 1, 1992; SCHERPENHUIJSEN ROM TO SUCCEED HIM AT ING GROUP; JACOBS AT NN

 ING GROUP AND NATIONALE NEDERLANDEN SET TOP MANAGEMENT CHANGES:
 VAN RIJN TO RETIRE AS CHAIRMAN OF ING GROUP AND NN JULY 1, 1992;
 SCHERPENHUIJSEN ROM TO SUCCEED HIM AT ING GROUP; JACOBS AT NN
 AMSTERDAM, the Netherlands, Dec. 20 /PRNewswire/ -- In a planned succession of management, J.J. van Rijn, chairman of the executive boards of the Internationale Nederlanden Group (ING Group) and its insurance subholding, Nationale-Nederlanden (NN), upon reaching the mandatory retirement age, will retire from both posts as of July 1, 1992.
 His successor at ING Group will be W.E. Scherpenhuijsen Rom, currently vice chairman of the executive board of ING Group. This move had been previously announced.
 At NN, A.G. Jacobs, a member of the executive board will succeed Van Rijn. He will also be named vice chairman of the executive board of ING Group.
 Scherpenhuijsen Rom, who is also chairman of the executive board of NMB Postbank Group, the bank subholding of ING Group, will continue in that position.
 ING came into existence in March of this year as a result of the merger of Nationale-Nederlanden, the Netherland's largest insurer, and NMB Postbank Group, the nation's third largest bank.
 Scherpenhuijsen Rom, joined NMB Bank, a predecessor of the NMB Postbank Group, in 1967. He became a member of the executive board of NMB Bank in 1975 and its chairman in 1976. He was named chairman of the executive board of NMB Postbank Group after the merger of NMB Bank and Postbank in 1989.
 Jacobs joined The Netherlands est. 1845, one of the two companies that merged in 1963 to become Nationale-Nederlanden, one year prior to the merger. He was appointed general manager of the Securities and Loans Division at NN in 1979. He was named a member of the executive board in 1988. His current responsibilities with NN include investments, with the exception of real estate, budgeting, planning, tax affairs and financial reporting.
