INDUSTRIAL TRAINING SYSTEMS CORP. ACQUIRED BY WESTCOTT COMMUNICATIONS, INC.

 MARLTON, N.J., June 2 /PRNewswire/ -- Industrial Training Systems Corp. (NASDAQ: ITSC), announced today that it has been acquired by Westcott Communications, Inc. (NASDAQ: WCTV), of Carrollton, Texas, for approximately $3.2 million.
 Pursuant to the acquisition, the shareholders of ITS will receive $3 per share, payable in cash. ITS had audited revenues of approximately $4.2 million and net income of $67,000 for its fiscal year ended June 30, 1992.
 ITS develops, produces and markets instructional and training video products covering a broad range of occupational health, safety, environmental and training topics to a customer base of more than 20,000. ITS also provides custom video production training and consulting services to satisfy specific training needs of individual companies and organizations.
 Westcott Communications, Inc. has pioneered the satellite delivery of workplace training and is a recognized leader of videotape training to the workforce. The company provides training, news and information to more than 19,000 subscribers that employ an estimated 1.7 million professionals involved in law enforcement, fire and emergency, professional security, accounting, automotive, financial services, education, and healthcare fields. In addition, the company entered the education market when it acquired TI-IN Network which provides two-way communication for students in grades K through 12.
