INCOMED CORP. SIGNS LETTER OF INTENT

 SAN DIEGO, Dec. 14 /PRNewswire/ -- InCoMed Corp. (NASDAQ: INCM) announced today that it has signed a Letter of Intent with ECF International Inc., an Atlanta-area-based company, the "Atlanta Group" which provides, among other things, that the "Atlanta Group" will inject up to $5 million ($5,000,000) into InCoMed on an as-needed basis in order to adequately finance InCoMed; that the "Atlanta Group" will provide national sales and distribution of the BIM product and four (4) new directors and all new officers to manage InCoMed; and that the "Atlanta Group" will relocate InCoMed out of San Diego.
 The "Atlanta Group" has until Jan. 4, 1994, to complete the terms of the Letter of Intent. At the time of funding, all present officers and directors of InCoMed with the exception of John Kafouras, president and chief executive officer of Alco Marine Agents, will resign.
 InCoMed Corp., through its subsidiaries operates two primary businesses: the marketing of medical products for infection control and women's health and the transportation of containerized cargo from South Florida to the Caribbean.
